Vision Ring LLC Terms of Service Agreement
Scope of Agreement
This Terms of Service Agreement governs all orders and services submitted to Vision Ring LLC, including CAD design, production, and any custom jewelry projects. It supplements but does not override any other written agreements between you and Vision Ring LLC.
Acceptance of Agreement
By submitting an order, CAD file, custom design, or any special request to Vision Ring LLC, you agree to these Terms of Service. Your continued engagement with our services acknowledges your full acceptance.
Confidentiality and Intellectual Property
Vision Ring LLC respects your design confidentiality. We do not use or disclose your designs for any purpose other than fulfilling your order. We take commercially reasonable measures to safeguard your proprietary designs. However, Vision Ring LLC will not be liable for similarities between submitted designs and work independently developed by our team or others.
By submitting materials, you affirm that you own or have permission to use the submitted content and that it does not infringe on any third-party rights. Vision Ring LLC reserves the right to reject orders suspected of violating intellectual property laws.
Approvals and Revisions
We strive to accommodate your approval and revision requests efficiently. Please ensure all design, quote, or order approvals are confirmed in writing. Approved designs and quotes are considered final and binding.
Non-Returnable Orders
Due to the custom nature of our work, all orders are considered final and non-returnable once approved and entered into production.
Cancelation Policy
You may cancel an order only before production has started. Cancellations after approval or once materials are purchased or manufacturing has begun will incur applicable charges for work completed or materials used.
Estimates and Pricing
All quotes provided are estimates based on information at the time of submission. Final pricing is subject to change depending on actual materials used, labor, or updates in metal pricing. Precious metals are priced according to the current market at the time of invoicing.
Quality Marks and Trademarks
9.1. Vision Ring LLC follows all applicable hallmarking requirements.
9.2. Our company trademark will be applied to finished items unless otherwise requested in writing.
9.3. If you wish to use your own registered trademark, you must provide valid proof of registration before production.
Declared Value of Customer Materials
10.1. When submitting stones or materials, you must declare the item and its value.
10.2. Vision Ring LLC’s acknowledgment of a declared value is not a confirmation of its authenticity or appraisal.
10.3. Declared values will be used for liability and insurance purposes, including setting fee calculations.
Customer Liability and Risk
While Vision Ring LLC takes care with all customer-supplied materials, you accept all risks associated with damage, loss, or theft. Vision Ring LLC is not responsible for loss beyond the declared value. Our maximum liability is the lower of:
– The declared value of the material
– The average wholesale market value
We do not account for sentimental or provenance-related value.
Records and CAD Files
12.1. All CAD designs, photos, and drawings submitted to Vision Ring LLC are considered non-returnable.
12.2. We do not guarantee the storage or retrieval of any design files unless specifically agreed upon in writing.
12.3. Vision Ring LLC is not obligated to return CAD or design files created or modified for you. These files are considered proprietary to our design process unless agreed otherwise.
Intellectual Property
13.1. Vision Ring LLC maintains full ownership of all design files, models, and processes developed during your project unless a written agreement states otherwise.
13.2. You retain ownership of any original artwork or design you submit, provided it does not infringe on others’ rights.
13.3. Vision Ring LLC may refuse any design submission that it believes may infringe on existing intellectual property or industry standards.
13.4. By submitting content to Vision Ring LLC, you confirm your right to reproduce and manufacture the submitted design.
Website & Platform Use
Our website, www.myvisionring.com, and any related platforms are protected under copyright law. Any use, duplication, or reproduction of content, design elements, or interactive tools is strictly prohibited without written permission.
Indemnification
You agree to indemnify and hold harmless Vision Ring LLC from any third-party claims, liabilities, damages, or legal actions arising from your submission or misuse of our services or website.
Privacy
Vision Ring LLC respects your privacy. We do not sell or share your information without your consent, except when required by law. Please refer to our Privacy Policy at www.myvisionring.com/privacy for full details.
Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles. Any legal action must be brought in the courts of the State of Michigan.
